Job Duties: Associate with Goldman Sachs & Co. LLC in New York, New York. Work with publicly traded and private companies in the technology, media, telecom and consumer retail sectors and with financial sponsors to originate, structure and execute equity financings including initial public offerings, follow-on offerings, block trades, convertibles, and private placements in the Americas. Support live deal execution including running due diligence processes, investor education, negotiating underwriting agreements and other legal documents, organizing, and attending deal and non-deal roadshows and interacting daily with corporate clients, investors, and other banks within the equity syndicate for the execution and pricing of equity capital markets transactions. Perform valuation analyses and specific technical equity product analysis around issuance sizing, timing and pricing, and actively participate in deal structuring, book-building, investor targeting, and deal execution. Coordinate internal processes liaising with industry teams for the execution of equity capital markets transactions such as initial public offerings, follow-on offerings, block trades, convertibles and private placements for issuers in the Technology, Media, Telecom and Consumer Retail sectors. Create bespoke equity-related marketing and execution materials and develop views on financial markets and related macroeconomic conditions to provide informed perspectives and insight to corporate clients and GS internal personnel. Present to corporate clients on topics such as equity financing, equity capital markets activity and general market trends at client meetings and on conference calls. Analyze accounting and regulatory statements, equity filings and documents, and financial projections and models to form judgements on company valuation, balance sheet optimization, growth strategy and competitive positioning. Guide and coordinate more junior professionals' work product and prepare detailed training materials and lead training sessions for them.
Job Requirements: Bachelor's degree (U.S. or foreign equivalent) in Business Administration, Finance, Economics, Accounting, or related field and two (2) years of experience in the job offered or in an investment banking role. Prior experience must include two (2) years with each of the following: working simultaneously on several equity capital market transactions in the technology, media, telecom and consumer retail sectors of a minimum transaction size of $250M in an active bookrunner role; performing valuation analysis and other technical analysis around sizing of equity capital markets transactions and investor targeting across different investor communities including mutual funds, hedge funds, and sovereign wealth funds; synthesizing investor feedback to form views on pricing and allocations for equity capital markets transactions; producing client reports on analyses of market data, economic variables and different stock market topics including stock prices, trading volumes, stock indices, stock trading performance, investor feedback, interest rates, inflation, GDP growth, and overall equity markets color leveraging electronic data sources, including Bloomberg, FactSet and Capital IQ; creating macroeconomic and sector market updates in the technology, media, telecom and consumer retail sectors for clients utilizing Bloomberg, Microsoft Excel, and Microsoft Power Point; drafting and reviewing of legal documents related to equity capital markets transactions including registration statements, lock-up agreements, and underwriting agreements; managing the process and preparing the documentation to approve equity capital markets deals with internal committees; and covering clients in an investment banking or financial advisor role including leading client conversations, organizing client events, preparing and presenting pitch materials, and providing regular financial and market updates. FINRA SIE, Series 79, and Series 63 exams, within three (3) months of hire. Travel required approximately 10% of the time (both international and domestic) for business meetings.
Salary Range: The expected annual base salary for this New York, New York, United States-based position is $174,000 - $225,000. In addition, you may be eligible for a discretionary bonus if you are an active employee as of fiscal year-end.
