The attorneys and other professionals of Legal & Compliance provide a wide range of services to our business units. They might help to structure a complex and sensitive cross-border transaction; advise on a new product introduction; develop a training program or defuse an investor dispute. They preserve the Firm's invaluable reputation for integrity and protect the Firm from sanctions with policies and procedures that meet regulatory requirements around the world. They also strive to maintain cooperative relationships with governmental policy makers and the regulatory and self-regulatory agencies that govern the Firm's businesses.
The contractor will be expected to provide legal and regulatory advice in relation to a variety of structured products (notes and certificates) in EMEA with a range of underlying assets (shares, indices, commodities, funds and rates), including:
Primary issuance and distribution of structured products to retail and institutional investors across EMEA
Collateralised issuances and EIS issuances
Exchange traded products (listed mini-futures, turbos, etc...) and the disclosure and listing requirements of such products in Germany and Sweden
The contractor will be expected to:
Review and advise on termsheet disclosures and prospectus disclosures
Assisti with structuring queries
Negotiate Distribution Agreements
Monitor and escalate franchise/reputational issues or concerns
Advise on Retail Structured Products governance issues, attend RSP Governance Committee sessions and preparatory work, as well as monitor industry discussions on RSP Governance
Advise on EMEA regulatory initiatives (PD2, MIFID2, PRIIPS/KID) and their impact for the MS Structured Products business
The contractor will be expected to advise on and review new proprietary strategies. In particular:
Review new index methodologies and advise on appropriate disclosure;
Review marketing materials and presentations;
Advise on appropriate implementation of EU Benchmark Regulation and IOSCO Principles in the day to day business
Participate in policy updates and in the index governance process
Advise on issues relating to the structuring and distribution of strategies/indices in swap or securitised format.
The contractor will report to the Head of EMEA Equities Legal (an MD)
The contractor will be expected to regularly interact with other internal functions (Risk, Compliance, TMG, Treasury, BU) as well as management of external counsel
Relevant experience at an investment bank is preferable but not essential
