Credit Suisse Asset Management is seeking an English qualified solicitor to join its EMEA General Counsel (GC) function providing legal coverage for its alternative asset management businesses; including but not limited to its Credit Investments Group (CIG), Private Credit Opportunities business and Private Fund Group. Responsibilities will include, but are not limited to:
Drafting, review, negotiation, and analysis of documentation relating to collateralized loan obligation (CLO) transactions, CLO warehouses, and other private credit transactions, including trust deeds, indentures, investment management agreements, offering circulars, term sheets, engagement/mandate letters, warehouse credit agreements, legal opinions, and confidentiality agreements.
Advising on the impact of relevant laws and regulations, including, but not limited to, the Securitization Regulation, MiFID and AIFMD.
Provision of day-to-day legal advice regarding portfolio management and investment advisory duties and obligations.
Development of structuring solutions to meet legal, regulatory, tax requirements and investor demands.
Closely coordinate with other control functions and members of the GC function.
Management of outside counsel engagements on complex matters.

Major law firm and/or in-house legal experience, including experience with CLO transactions and other credit and structured product transactions (preferably on behalf of asset manager clients). 5 plus years of post-qualified experience would be the ideal level for this position. English qualified solicitor is essential due to the need to provide advice in respect of English law. Detailed knowledge of European, US, and other laws and regulations relating to provision of investment advisory services, securities offerings, credit risk retention, and contractual interpretation. Prior experience relating to fund formation, separately managed accounts, leveraged loans, restructuring/workouts, and/or bank regulatory matters would be a plus. Ability to prioritize and lead multiple transactions and projects. Demonstrate the highest professional work ethic, and ability to spot and raise issues to senior lawyers and business partners. Sound professional, business and strategic judgment and ability to communicate effectively with senior business partners. Ambitious, hardworking individual with an ability to work both independently and collaboratively within the GC function. Ability to work in a fast paced and dynamic environment.
