The Assistant General Counsel is a senior management-level position responsible for accomplishing results through the management of a team or department to manage and direct day-to-day legal activities in coordination with the Legal team. The overall objective of this role is to support and provide legal coverage to the Regional Consumer Bank - in particular the offshore consumer bank platforms of the International Personal Bank Singapore (â€ IPBâ€) business which operates out of Citibank Singapore Limited (â€ CSLâ€), a Singapore regulated banking entity.
Singapore bank licensing issues and MAS regulations/notices and directives affecting banking, securities brokerage and investment advisory services which are applicable to CSL.
Cross-border distribution of deposit and non-deposit investment products and services, and associated conduct rules under Citiâ€™s Offshore Wealth Services Policy (â€OWSPâ€) and Retail Distribution of Investment Products (â€RDIPâ€) Policy
Reviewing deposit and non-deposit investment products and services offering materials for compliance with regulatory requirements in each offering jurisdiction
Advising on securities and insurance-based lending programmes and associated security documentation
Advising on changes in onshore regulations and laws which would affect the onshore and offshore conduct of businesses by IPB
Reviewing business policies and procedures, intra-Citi agreements, outsourcing, client documentation, offering materials and other marketing materials
Participating in a host of governance forums involving multiple jurisdictions and regulators
Engaging, supervising and working with outside counsel and other legal advisors as required
Supporting and advising on special projects and initiatives across the franchise which impact IPB, including:
OWSP/conduct rules â€" ongoing review, updates, clarifications and transactionary queries
Digital Bank - digitization of the banking products and services offering
Data Protection, FATCA, CRS, GDPR, CCPA
Internal Audit, Enterprise Risk Management and other regulatory audits as they occur
Special projects like integration, mergers of businesses and the like (e.g. Global IPB and enhanced platform)
Special cross-sell and cross-referral proposals
Advising on client complaints, and managing litigation and other dispute resolution actions and assisting Compliance with regulatory interactions related to these as necessary. Participate as required in senior business management committees such the DPAC, Business Risk and Compliance Committees, Product Approval Committees etc. as legal advisor, updating business management of progress of ongoing initiatives. Work closely with country, regional and other consumer counsel, as well as Compliance colleagues across all geographies to ensure robust and effective coverage of legal issues affecting that jurisdiction and the IPB business activities in that country. Pre-Requisites
Depth and breadth of experience in financial services, in particular, consumer banking, wealth management and/or securities brokerage, gained in-house and/or in private practice from a top law firm.Â Prior experience in retail brokerage, especially US brokerage and introducing broker arrangements will be a significant advantage.
Experience in complaints handling, dispute resolution and litigation an advantage.
Good technical skills and a thorough knowledge and understanding of key markets and financial products and banking regulations.Â Familiarity with OWSP and RDIP is a plus.
Possess strong drafting skills, be highly organized, motivated and pro-active yet personable. Â Required to develop effective and credible working relationship with internal and external stakeholders and be sensitive to a broad range of risks, other than just legal.Â Be able to demonstrate clear commercial application of legal knowledge with practical business considerations.
An individual with organizational maturity and the ability to coach and influence others across a broad spectrum of functions and levels of management across regions.Â High capacity for work and sometimes at odd hours across different time zones as necessary.
