primary legal advisor in relation to the EMEA and APAC Cash Business.
responsible for the UCITS and AIFs ("Funds") including structuring, incorporation, formation, maintenance, mergers and potential liquidations;
work closely with internal stakeholders including product development, funds management, risk and compliance teams in order to provide support and advice relating to the Funds, various strategic projects and opportunities;
provide legal advice and support in relation to distribution, marketing and ongoing maintenance of client-facing activities in relation to the Funds;
review, draft and negotiate related agreements including service provider agreements, intermediary agreements and rebate letters for the various fund ranges;
review and update fund documentation in line with applicable regulations, market standards and internal policies;
maintain and update existing templates;
maintain appropriate and extensive knowledge of relevant laws affecting the Funds and business in multiple jurisdictions in order to provide legal advice on regulatory compliance and governance matters in relation to the Funds, including actively contributing to internal and industry working groups (as relevant);
attend board meetings and committee meetings (where relevant) and provide legal support and advice to such governance bodies;
manage and instruct external legal counsel and manage external counsel budget in line with internal polices and restrictions; and
work closely with a global team of specialist fund lawyers, investment professionals and other individuals within the business.
5-8+ years of professional experience in a recognized law firm and/or in-house legal department with focus on European investment funds (UCITS and AIFs), fund distribution and regulatory matters.
The successful candidate must be a qualified lawyer from a recognised jurisdiction. Recognised jurisdictions include England and Wales, Ireland, the United States of America, South Africa, New Zealand, Australia, Scotland and other EU countries.
