The Legal Counsel advises on a variety of legal issues related predominantly to investment fund law, banking and securities law. The focus of their activities is to provide legal advice and support to the local business, to handle contract negotiations with customers, to contribute to product development and to the implementation of regulatory requirements applicable to the local business. As part of the Legal Team the Legal Counsel, VP reports to the Head of Legal of State Street Bank Luxembourg S.C.A. and works closely with other Legal teams across State Street offices in Europe and the head office in Boston.
Drafts, negotiates and manages customer contracts (e.g. depositary and administration agreements) as well as other bank related agreements or legal documents. While doing so works closely with business units and support functions to align such agreements to underlying operating models and mitigate risks.
Advises and supports the bank on all legal matters related to the servicing of traditional and alternative investment structures mainly with regard to depositary, fund administration and registrar and transfer agency activities.
Provides legal thought leadership in internal committees and forums as Legal representative.
Monitors regulatory developments and advises on regulatory matters affecting the bank's business and new product development.
Contributes to corporate and operational restructurings and data protection matters.
Collaborates with Legal teams across State Street's legal division on global and regional projects.
Master degree in Law.
10 years of professional experience as in-house lawyer in a bank, asset management company or law firm with focus on investment fund servicing activities in an international environment. Experience with private equity and real estate structures is an advantage.
Ability to analyse complex situations and obtain information to reach sound conclusions.
Strong organizational skills, with attention to detail and meeting tight deadlines.
Excellent communication skills.
Team player with the ability to interact with multiple levels in an organization in an international environment.
Service-oriented and results-focused.
Hands-on and ability to work independently.
English (fluent, spoken and in writing), French and/or German would be considered an advantage.
