This person is responsible for the project management of all aspects of real estate transactions, from letter of intent to timely and effective completion, liaising with and co-ordinating the activities of all third-party organisations and internal personnel.
The HoT is responsible for instructing law firms from an approved panel on deal related matters, the cost-effective purchase of legal services and management of relationships with law firms on behalf of the Company. The HoT is also responsible for conducting due diligence, reviewing all deal-related documentation and assessing, advising on and minimising legal risk for the Company.
The HoT reports to the Chief Investment Officer (CIO) and supports the Investment team on progression of transactions to timely conclusion, but also liaises closely with the Chief Operating Officer (COO).
Ensure appropriate approvals are in place before commencing due diligence activity. Identify and formalise all key external parties involved in the transaction – counterparties, agents, lawyers for the vendor/purchaser, corporate accountants and liaise with and co-ordinate them throughout. Develop, maintain and implement a 'Transactions Check-list' for all deals to identify key internal responsibilities and requirements and keep the Investment team and key others appraised of progress. On disposals, lead and drive the transactions process throughout, identifying and resolving issues and escalating as appropriate to the CIO and COO.
Law firm appointment and management
Engage a panel law firm to act on your employer's behalf, manage the formal terms of engagement including Service Level Agreement (SLA), agree fee terms up-front and provide written instructions on the legal documents required to execute the transaction including the Sale & Purchase Agreement (SPA). Review and comment on law firm work and document drafting, consider advice provided and challenge as appropriate.
Legal & commercial due diligence
Establish target risk profiles on acquisitions and disposals for asset types. Conduct robust legal due diligence on all transactions and manage risk against the target profile. Identify and minimise legal risks for the Investor company and employer
Liaise with the Investment Team regarding the forecasted business plan for the transaction and the actual position presented by the commercial diligence. Provide tactical advice on pricing to the Investment team during negotiations. Prepare a memorandum on all due diligence findings (legal and commercial) and performance against target risk profile for comment and approval by the Investment Committee prior to exchange.
Instruct and liaise with appointed panel approved corporate accountants regarding:
the timely set-up of Special Purpose Vehicle (SPV) companies to make acquisitions on behalf of Investors and;
the financial accounting and tax due diligence as applicable to the deal and co-ordinate assistance from the accounting team, the Tax Accountant and/or the COO as applicable.
Liaise with the VP Banking regarding debt funding arrangements and review and provide legal and commercial risk comment on the associated loan and security agreements prior to sign-off.
Professional expertise The HoT must have exceptional knowledge of landlord and tenant law with a very good working knowledge of other laws that impact the role, such as planning, development, forward funding, corporate and banking. The HoT is required to keep up to date on relevant new legal developments, to consider their implications for Group and Investor companies, and provide trusted advice to management. The HoT is responsible for sharing knowledge and expertise with other teams with a view to minimising risk and maximising efficiency of transactions. The HoT is responsible for developing and maintaining a knowledge of real estate market trends.
Transactions function service delivery Build and maintain an excellent close working relationship with the Investment team. Develop and maintain a quality and responsive Transactions function.
Communication Ensure effective communication across teams to support departmental service delivery standards, teamwork ethos and the delivery of Company-level objectives. Provide status updates on Transaction function activities and projects as appropriate to the Chief Operating Officer and the SMT.
External party relationship management Develop and maintain an active and valued dialogue with law firms and investment agents on an ongoing basis. Develop positive relationships with all other key stakeholder organisations. Direct and manage external professionals, coordinating resources in the most efficient and productive manner.
