Working closely with senior business members proactively advise on and participate in alternative investments transitions cover structured financing including pre-IPO mezzanine financing, PIPE deals, syndicated loans, perpetual convertible securities, share back financing, privatization finance, acquisition finance, reciprocal trades, etc. in US and Europe
Knowledge in Private / index fund, structured finance products, credit products, derivatives and collateralized loan obligation (CLO)
Covering a range of legal matters including assessing legal risk associated with and giving internal advice on legal structure and issues of investment transactions in US, Hong Kong and Europe
Drafting, reviewing and negotiating transactional legal documentation for investment transactions mainly in US and Europe with or without assistance from external counsels
Demonstrate a clear understanding of portfolio construction, investment processes, risk management, legal and compliance regulatory practices
Qualified lawyers in US possess 4 years' PQE, with strong transactional experience gained in the areas of alternative investment scheme, experience in index fund structure, financing and/or funds formation is also useful
Prior experience in both research and investment management AND legal transaction process
Exposure to SFC Type 9 work is an advantage
