Job Description Calling all US SEC regulatory and funds lawyers! A rare opportunity has arisen for a senior US funds lawyer to come on board this award-winning private equity firm as their General Counsel, based in Hong Kong. Our client is a mid-sized international PE/advisory group with operations largely covering the Asia pacific region. They are now hiring a General Counsel & Chief Compliance Officer to oversee their legal function across its business Overview: With the support of one team member, you'll be responsible for providing the full spectrum of in-house legal and regulatory support to the company and its affiliates, with particular emphasis on ensuring strict compliance with the US Securities & Exchange Commission (SEC) and other regulations pertinent to funds. You would also be tasked with handling all company secretarial, corporate governance and other compliance requirements (e.g. FCPA, anti-bribery rules), and review and negotiate commercial terms for the group's entities and oversee the legal aspects of acquisitions of assets and investment targets. Further, there will be considerable funds matters to handle, so as GC as a trusted business partner you will:
be a key driver in funds structuring and formations (offshore and onshore funds)
assist in fund raising efforts, as well as project manage external counsel to initiate and process deals through to completion;
work closely with the board of directors to advise on the business, tax and legal aspects of investments and exit strategies; and
give support to ensure the group's internal processes are, and remain at all times, robust.
What they're looking for:
Qualified funds lawyer with a minimum 10 years' experience with major international law firms and private equity or asset management firms (private practice senior funds lawyers considering a move in-house are also welcome to apply)
first rate experience in PE or M&A deals, ad well as funds structuring, fund raising and fund formation
good experience or at least a working knowledge in dealing with US SEC compliance and audit processes preferred
strong knowledge of the regulatory and compliance regimes governing funds, particularly US SEC requirements (including audit processes), although SFC experienced lawyers would also be considered
Real Estate industry experience within the funds space would be an added bonus
excellent written and spoken communication (Chi/Eng), organisational and inter-personal skills, able to work in a fast-paced environment
self-starter with a 'get up and go' attitude
fluent in written and spoken Mandarin and English, additional fluent spoken Cantonese is an advantage
