Main function of the job:
The EMEA COO Office has responsibility for supporting the business in the facilitation of key governance and control activities across multiple Wells Fargo corporate entities in the region. The EMEA COO Office is a key stakeholder in many of the significant change and regulatory programme in the region.
Legal Entity Office (LEO)
The LEO was formed to fulfill the mandate of managing enterprise-wide Legal Entity governance operational processes throughout the legal entity lifecycle. The LEO is part of the Operational Resiliency team and exists to provide strategy and governance to Wells Fargo's Legal Entity structure to best support the business and regulatory requirements.
The role holder will have an excellent opportunity for development across a range of activities and senior stakeholder engagement in EMEA and with the US and support the EMEA COO Governance team in the facilitation of key control activities across multiple Wells Fargo legal entities in EMEA. These will include:
Managing the Legal Entity population in EMEA from a corporate legal perspective
Legal Entity Data Governance and oversight
Legal Entity Management and regulatory/statutory Reporting
(Note: In addition to these functions team members are required to carry out other duties as may reasonably be required)
Market Skills and Certifications
Legal Entity Population Management
Undertaking routine reviews of the Legal Entity population in EMEA and revisions of the EMEA Legal Entity Structure Chart and provide regular updates to Legal Entity Governance Office (LEGO).
Overseeing the processes, risks and controls within the EMEA Legal Entity lifecycle. These will include activities such as initiation, acquisition, change, disposition and dissolution.
Facilitating the advance notification process, filing of the required documents to execute the changes and completing the post-execution requirements for Legal Entity Events in line with the LEGO policy and procedure
Completing the LEGO periodic justification and resolvability assessments activities
Coordinating the risk reporting requirement activities associated with Tier 1 and 2 rated Legal Entities.
Taking timely corrective action to remedy any exception to the legal entity rationalization criteria for which an exemption is not approved by LEGO or Legal Entity Governance Committee.
Ensuring quarterly legal entity risk reporting, as described in the Legal Entity Policy or by business requirements, is completed in coordination with the business's control executive
Legal Entity Data Governance and Oversight
Establishing appropriate governance processes for approving, changing and dispositioning of Legal Entities and providing the necessary ongoing reporting (trends, impacts, etc.) of risks associated with managing Legal Entities.
Creating and maintaining an action log including those escalated to higher governance forums, ensuring that they are appropriately logged, followed up on, and resolved in a timely manner or otherwise reported to the appropriate forum.
Identifying team members with direct involvement in legal entity governance processes and ensuring training is provided to them, as appropriate
Implementing processes and controls to ensure compliance, and maintaining compliance with the requirements of the Legal Entity Policy and any related applicable policy requirements within their respective compliance programs, including performing required testing against major policy requirements
Legal Entity Management and Reporting
Identifying and addressing the potential risk and reporting impacts of initiating and acquiring; modifying; or dispositioning, dissolving, or deactivating legal entities
Providing timely notice, detailed information, and supporting documentation in accordance with the requirements of these procedures
Ensuring the accuracy, integrity, completeness, and reliability of data and information provided to the LEO
Produce management information and metrics to provide assurance for legal entity governance stakeholder management
Delivering the above through working effectively with key global regional stakeholders
Degree level education preferred.
Relevant experience of Corporate Law particularly around the formation and dissolution of companies
Previous experience in a risk and control environment
Excellent Microsoft Outlook, Word, PowerPoint and Excel skills and proficiency in data mining and summarizing and presenting themes and results in a meaningful format.
Self-starter and ability to take responsibility for own tasks and proactively looks for opportunities to increase responsibility.
