JobDescription : The Role: The Assistant General Counsel will be responsible for supporting the legal function for the S&P DJI APAC business. The role will involve reviewing, drafting and negotiating legal agreements with a focus on licensing and intellectual property transactions. In addition, other key aspects of the role are keeping abreast of relevant legal and regulatory changes, as well as providing legal guidance to business colleagues.

Draft and negotiate a variety of agreements. These agreements include a) client agreements for S&P DJI's products and services, including data, information, trademark (index licensing for financial products), custom index, research, software, consulting and other agreements and b) data vendor agreements for S&P DJI. In addition, handle related and ancillary agreements, including confidentiality, marketing and click agreements. Provide legal support for permissions and other requests for S&P DJI index use in publications.
Assist business colleagues with all manner of legal questions, including but not limited to, disputes, intellectual property issues, and regulatory developments and appropriately escalate issues to the Associate General Counsel for APAC.
Handle regulatory filings, particularly those related to benchmark regulations across the APAC region.
Use legal knowledge and skills to manage and mitigate risk in connection with S&P DJI's product development and licensing regime. Provide legal support for resolution of day-to-day matters related to any agreements, including interpretation of existing agreements/contracts.
Provide training/guidance to sales organization and other colleagues related to Intellectual Property protection, form/template agreements and contract terms.
Develop, maintain and update templates/standard forms (i.e. local law/language, regulated and financial index products) as needed and in response to changing market and industry trends and practices. Address tax and regulatory affairs/compliance issues. Ensure use of appropriate disclaimers.
Engage with and manage outside counsel as required.
The role encompasses all relevant jurisdictions across APAC e.g. PRC, Hong Kong, Japan, Korea, Australia, New Zealand, Singapore etc.
Special projects as assigned by manager. Involvement/leadership in a variety of projects, including due diligence activities related to acquisitions and divestitures, archiving, and other projects as needed.
The candidate must possess a law degree and at least 7 years of experience either in a law firm or within the legal department of a multi-national corporation.
The role requires a commercially aware lawyer who can balance the commercial interests of the company with the ability to minimize exposure to risk and liability.
The candidate must possess a strong working knowledge of contract law, intellectual property law and an understanding of the laws of the different jurisdictions where S&P DJI does business in the APAC region, as well as excellent drafting skills across indemnification, disclaimer of liability and information reuse provisions, as well as other contract provisions. Experience working on intellectual property licenses is desired.
An essential element of the role is the ability to have a keen understanding of legal and cultural differences across various diverse jurisdictions and be dynamic and flexible enough to seamlessly traverse the various jurisdictions from a legal and commercial perspective.
The candidate should have excellent organizational skills, the ability to work under pressure and to deadlines and comfort working within a fast-paced environment while managing multiple tasks simultaneously.
The candidate must be able to work autonomously yet still possess good judgment in order to determine when a matter should be escalated.
The role requires exceptional communication skills with the ability to communicate effectively across all levels of management within S&P and external parties such as clients, regulators, government officials etc. The ability to communicate effectively with non-native English speakers and people from various countries is an important aspect of the role.
Experience with, and a general understanding of, financial products and services used in connection with financial indices (such as exchange-traded funds, exchange-traded notes, derivative products etc.) would be an advantage.
The ability to think laterally and provide creative solutions is highly desired.
The candidate must possess the ability to keep abreast of the rapidly evolving industry trends and practices, as they relate to among other things, the financial industry, intellectual property, technology, etc.
