High quality documentation review and coordination n support of a complex portfolio of client structures based on timeliness, efficiency, a strong focus on detail, group policies and requirements ensuring mitigation of material deviations from documentation standards and risk management,
Support all types of institutional debt instruments from the perspective of an Agent and/ or Financial Markets Trustee, including full range of services required for the establishment, operation and management of SPVs. Support the development of cash solutions (covering Escrow, Account Bank, Cash Manager) and partnership/ solutioning opportunities coming from traditional bank backed providers (i.e. leveraging our footprint in support of pledged security/ collateral),
Develop and maintain a network of intermediary relationships, including investment banks (DCM, CF/ PF and Syndications teams), direct lenders, traditional bank backed corporate trust and loan agency providers, law firms and other advisors. Working closely with senior management and our sales force to develop the brand,
Provide transaction support to both domestic and cross border business including responsibility for conditions precedent and conditions subsequent (to closing/ draw down), material changes to existing structures in the context of covenant (i.e. waivers and amendments) and payment breaches/ events of default, defaults and restructurings,
Keep track of new legal, regulatory and fiscal developments, including anticipating impact in legislation and translate this into opportunities for the business. Develop robust processes, in conjunction with the Global Head of TMG to mitigate risk to the business and our clients, ensuring consistency with global standards, practices and requirements,
support new business activity through the continuous development and evolution of best practice as it relates to documentation standards, market and regulatory compliance (FATCA, GDPR and BREXIT are examples of the same) and related processes and procedures of a regional and global nature. Strong relationships with the intermediary community are an essential and an ongoing part of the role, as is support of and participation in new business pitches to successfully secure mandates.
Proactively develop relationships with clients and external counsel and escalate/provide feedback to the Head of TMG with respect to possible improvements concerning documentation and process, market developments and trends and product developments and opportunities, and
provide operational and product teams with customer feedback on pricing, service and possible operational quality improvements,
Minimum 7-10 years PQE legal experience from an international law firm with a strong capital markets and banking and finance practice, or in-house experience as a senior transaction manager/ head of transaction management at a leading provider of Corporate Trust or Loan Agency services,
An excellent understanding of capital market products, including both performing and nonperforming debt, vanilla, structured finance, project finance, aviation and shipping and Islamic finance structures,
Strong business acumen, communication skills & leadership qualities,
Maintain good relationships and develop new connections with clients and professional intermediaries,
Dual law qualified lawyers with both an English Law and a second governing law qualification will be given priority,
A 'Can do' attitude, with an open, flexible, collaborative and commercial approach with a desire to ensure consistent and accurate documentation standards and manage business and documentation risks,
Proficient in English,
Proficient in Word and computer applications used for deal management and transaction documentation review, and
A willingness to train and develop colleagues in the group locally, regionally and globally with regional knowledge concerning new deals, new structures, trends and market requirements.
