The Opportunity The role of Senior Legal Counsel in our Sydney office offers the opportunity to play a key role in the Asia Pacific Legal Department, supporting the growth of our capital markets business across the region. Reporting to the APAC General Counsel, the successful candidate will enjoy an autonomous role, working in close partnership with a young and dynamic team of talented capital markets professionals across a wide range of products and services. Importantly, the role also offers the opportunity to achieve a healthy work/life balance, with a focus on outcomes rather than hours spent behind the desk
What you will do
Negotiate, draft and/or review a wide range of legal agreements for the following services: foreign exchange, currency management, brokerage, securities lending, transition management, custody and investment management
Review and negotiate ad hoc or ancillary legal documentation such as parental guarantees, non-disclosure agreements, service level agreements and powers of attorney
Instruct and liaise with external counsel in Australia and Asia, as necessary
Review and analyse advice and opinions from external counsel
Advise on legal and regulatory developments impacting Northern Trust's capital markets business in Australia and Asia
Advise on existing and new capital markets products and services for Australia and Asia
Manage legal risk having regard for, amongst other things, regulatory change, good corporate governance and operating structures
Work with other members of the APAC Legal Department and the broader corporate Legal Department in relation to ad hoc projects and client requests
Knowledge, Skills & Qualifications
An Australian qualified lawyer, with a minimum of 10+ years of experience working in-house with a domestic or global financial institution and/or in private practice with a reputable firm
Experience working in foreign exchange, brokerage, cash equities or FICC, options trading, securities lending and/or derivatives will be highly valued
Familiarity with Asian markets and the regulation of various capital markets products in those markets will be desirable
Strong legal drafting and negotiation skills are essential. Experience negotiating FX terms of business or pricing agreements, brokerage terms of business, securities lending agreements, structured product terms and margin lending documentation will be highly sought
Whilst experience working with ISDAs will be valuable, the role itself will not involve ISDA negotiation as a core duty
The ability to prioritise and work to set deadlines within a challenging environment
Strong commercial/pragmatic sense and understanding of business needs
The ability to analyse complex legal issues and explain outcomes in plain English
A self-starter who is able to work independently
