We Offer Japan General Counsel team is seeking a full time junior, Japanese law qualified lawyer responsible for providing legal support to a wide variety of Japan Businesses, with a focus on financing, capital markets, M&A advisory and other investment banking transactions for Investment Banking & Capital Markets division ("IBCM"). The Japan Businesses include equities, fixed income, derivatives, investment banking and capital markets, asset management and private banking. The business is currently supported by four Japanese lawyers based in Tokyo in respect of Japanese law matters and by three UK/US law lawyers based in Hong Kong and Tokyo in respect of English law/non-Japanese law matters.
We Offer: · providing legal support to the Japan Businesses with and under the supervision of the relevant senior in-house lawyers on any and all legal, transactional and/or regulatory matters/issues, including the negotiation, review or drafting of the relevant agreements, presentation/marketing materials, etc. relating to, or advising on, the following: o IBCM: M&A advisory, corporate loans (syndicated, structured, mortgage/share backed or otherwise), and equity/debt capital markets transactions (including self-investments in MSCBs/MSWarrants) o Equities: electronic trading, commission sharing arrangements, clearing, prime brokerage, etc. o Solutions: structured notes, derivatives (primarily equity and credit derivatives), derivative embedded structured funds, insurance related products o Asset Management: origination and structuring of Cayman/Lux funds and the distribution into Japan o Private Banking: loans to individual clients (mortgage/share backed or otherwise), sale of structured notes/funds, discretionary investment advisory, private company M&A, business succession to the next generation, strategic inheritance arrangements, etc. ·providing legal advice on queries from other jurisdictions relating to Japanese law or regulation · managing and taking the lead of internal investigations on incidents/client disputes, and handling client complaints/disputes/litigations strategically with or without external counsel ·providing administrative and organizational support in relation to all of the above areas ·assisting with execution of legal documents and maintaining records and files ·contributing legal input to business-led projects ·working closely with Front Office, Compliance and other departments ·following up and liaising with internal and external clients, and external counsel on queries in a timely and professional manner
You Offer ·Japanese law qualification ·2+ years experience in a reputable Japanese law firm or a financial institution, as a junior lawyer, is preferred ·Ability to read, write and speak English and Japanese ·Legal experience in investment/commercial banking business/transactions would be advantageous ·A proactive learner and team player ·Strong academics and a keen attitude ·Ability to identify, assess and summarize legal, regulatory, commercial and operational risks ·Good drafting and communication skills ·Good organizational and administrative skills
