Legal Counsel providing advice related to a range of investment banking and capital markets activities including related to securities underwriting, corporate lending, advisory engagements and treasury products. The position will provide support to other members of the Legal Group as well as directly to business groups and other support and control functions. The optimal candidate will have a combination of law firm and in-house experience advising financial institution clients.
Primary responsibilities include:
Transactional and advisory support to investment banking, debt and equity capital markets, leveraged finance, asset backed securitizations, public finance, money markets and transaction banking.
Review, negotiate and draft a range of transactional and commercial contracts such as engagement and commitment letters, advisory agreements (including M&A), placement agent agreements, letter of credit agreements, NDAs and vendor and outsourcing agreements.
Research and provide advice relating to securities and banking regulations, including with respect to proposed and newly enacted regulations.
Provide regulatory advice in connection with new products or emerging risks (e.g. cryptocurrency, cybersecurity).
Assist with regulatory compliance and conflict management related to existing and new business.
Follow legislative / regulatory developments including through participation in industry associations (SIFMA, LSTA).
Assist in the development of policies, procedures and standard forms.
The candidate should be willing and ready to develop legal skills and expand knowledge into new substantive areas of law as may arise, including in connection with Sales & Trading and Prime Brokerage (e.g. trading contracts, master agreements, collateral management).
To fulfill the responsibilities of the position, the incumbent must be qualified to practice law in NY State with a minimum of 4 years' experience in a law firm and/or an investment bank legal department. The candidate will be attentive to detail, have strong organizational, writing and research skills, effective communication skills, the ability to cross-train, to work both independently and collaboratively and be flexible in adjusting to changing work priorities.
