Mission Description of the Business Line or Department GLFI/CMK/DCM is responsible for addressing borrowersâ€™ needs in terms of raising and managing capital in the debt capital markets. The client base for DCM includes corporate borrowers, financial institutions, public sector and sovereigns, as well as non-investment grade (high yield) issuers globally. In terms of debt origination, DCMâ€™s activity covers issuance of bonds of various kinds, including hybrid capital and liability management advisory. DCMâ€™s activity also covers transaction management advisory. The high yield side of DCM deals exclusively with non-investment grade credits, mostly for corporate entities and including leveraged buy-out situations
Summary of the key purposes of the role â€¢ To support the development of the high yield bond business â€¢ To assist in the origination, structuring and execution of HY bonds for European companies and for non-European domiciled issuers using European currencies â€¢ To assist in preparation of marketing and origination effort of more senior members of the teams (MDs and Directors and VPs) of non-IG DCM solutions â€¢ To assist more senior members in the education of internal bankers on HY products and markets â€¢ To promote integrated financing solution in cooperation with other DCM teams (DCM Corp, DCM CEEMEA, etc) and other business lines partners (LBO, TMT, AFG, NAT) and coverage teams (CORI, MCIB, IRBA)
Summary of responsibilities â€¢ Preparing internal and external high yield market updates (under guidance of more senior team members) â€¢ Preparing high yield capital markets related pitch material, answers to RFP â€¢ Assist in preparing various credit memo including High Yield support memo for underwriting commitments â€¢ Carry out ad hoc analysis and research as requested by other team members, including conducting relative value analysis of bonds â€¢ Support originators in advising internal and external clients on optimal financing structures â€¢ Participate in the preparation and review of information memoranda and support documents for pitches â€¢ Help prepare or review (as appropriate) term sheets and offer letters
â€¢ Carrying out due diligence alongside internal bankers and senior originators â€¢ Assist senior originators during the drafting of marketing sections of offering memorandum â€¢ Actively participating to preparation of rating agency, road-show and sales-force materials â€¢ Attend due diligence conference calls â€¢ Manage Gilt lists, KYC process, Wall crossing procedures, all in line with regulatory / legal requirement and internal policies â€¢ Liaise with Legal (SEGL JUR) for the review and sign off on various bond documentation (Engagement Letter, Purchase Agreement, AAIP, Offering Memorandum and Commitment Documents) â€¢ Keep record of various documents related to the transaction â€¢ Support Bond Syndicate in the approval process (fiche comite) â€¢ Take care of execution logistics (Net roadshow, investor profiles of investors for the issuer representatives) â€¢ Collect and consolidate investor feedback â€¢ Interacting throughout the execution process with other sell-side firms, junior lawyers, accountants, auditors, trustees and printers â€¢ Prepare deal post-mortems (one page deal reviews, investor order book analysis) â€¢ Complete Permanent Supervision file after closing
Profile Graduate with a Master degree from Business/Engineering school or University, majoring in Finance.
You are fluent in English. You are proficient in Office application.
