An opportunity has arisen in the Belfast Markets Legal Department to provide legal support to the G10 Rates and Global Spread Products (GSP) Legal teams.
Citi's Legal Department in Belfast is a team of approximately 120 staff, covering a range of products and services across Citi's Europe Middle East and Africa region (known as "EMEA"). The Belfast Legal Department provides a range of services, support and advice to many business areas with a particular focus on Citi's Institutional Client Group; incorporating transaction negotiation, master agreement negotiation, and oversight of compliance and regulatory requirements.
The successful candidate's primary focus will be to work in close contact with other lawyers advising the relevant business teams with respect to Citi fixed income balance sheet and SPV programmes and structured products issuances. The G10 Rates and GSP businesses undertake a wide array of transactions with a structured products element to them, including structured rates and credit transactions. The appointee will work with product lawyers to assist with documentation and provide advice as required to the business. The successful candidate will also have exposure to structured products, with embedded credit derivative technology, so a good knowledge of the credit derivatives definitions and related market documentation would be useful. Excellent organisational and drafting skills are a pre-requisite and understanding of securities laws would be helpful.
Key responsibilities will include:
Acting as an escalation point on CLN and Structured Notes negotiations, taking ownership of the process from trade to issuance of structured notes issued from Citi's credit programmes and troubleshooting issues;
Reviewing and commenting on term sheets and final terms/pricing supplements for non-template CLNs/Repack notes;
Assisting with management of the various fixed income programmes, including but not limited to period annual updates, continuing obligations and periodic regulatory implementation initiatives, including liaising with external counsel, and business teams and other internal stakeholders;
Maintaining global templates for use by all relevant Markets desks with regard to programme documentation;
Ensuring that that relevant transactions are compliant with Citi's policies;
Maintaining key relationships with other internal lawyers throughout the Citi global network and other control functions (principally Credit Risk Management and Independent
Compliance Risk Management), counterpart in-house lawyers and external law firm contacts;
Co-ordination for relevant product lawyers' engagement with market and regulatory changes.
Further, although the position will have a specific focus on the above businesses, the selected applicant will work with colleagues in the larger Belfast Markets & Securities Services Legal team and will be required to work overarching initiatives, including involvement in the Legal Opinions Committee review process and will have the opportunity to work on a variety of matters required to support other businesses covered by Markets & Securities Services Legal.
This is an exciting opportunity for a candidate with experience in structured finance to work on a broad range of products and transaction structures.
Knowledge/Experience: Preference for a candidate with:
Experience of working in a legal/large service orientated organisation
Extensive years of experience obtained either in private practice or in-house;
A basic understanding of structured finance;
Familiarity with Securities Laws/Structured Notes issuances and Credit Derivatives; and
Excellent academic credentials.
Excellent technical skills and analytical ability.
Strong business judgement and commercial awareness.
Excellent communications skills (both written and oral) and client management skills.
