An opportunity has arisen in the Belfast Markets Legal Department to provide legal support to the Global Spread Products (GSP) and G10 Rates Legal team (Total Return Swaps ("TRS") ); and the Fixed Income Finance Desk; the Equity Finance Desk and G-10 Rates Treasury; (with a focus on repurchase agreements and securities lending transactions (together, "SFTs" and together with TRSs, "DSFTs")
Citi's Legal Department in Belfast is a team of approximately 120 staff, covering a range of products and services across Citi's Europe Middle East and Africa region (known as "EMEA"). The Belfast Legal Department provides a range of services, support and advice to many business areas with a particular focus on Citi's Institutional Client Group; incorporating transaction negotiation, master agreement negotiation, and oversight of compliance and regulatory requirements.
The successful candidate's primary focus will be to work in close contact with other lawyers advising the relevant business teams. The appointee will work with product lawyers to assist with documentation and provide advice, as required, to the business. On the product side, the role involves working with the relevant businesses, providing advice and assistance in all stages of the product cycle under supervision of product lawyers, including in the structuring of transactions, managing the execution process, and drafting, reviewing and negotiating the relevant documentation, as well as providing a point of escalation to the affiliated negotiation team in Belfast that negotiates master repo and securities lending agreements.
Key responsibilities will include:
Acting as an escalation point on SFT master agreement as well as contact/co-ordination point for queries from Ops on TRS confirmations ;
Reviewing and negotiating SFT and TRS trade documentation;
Maintaining global templates for use by all relevant Markets desks with regard to TRS trade documentation ;
Ensuring that that relevant transactions are compliant with Citi's policies;
Maintaining key relationships with other internal lawyers throughout the Citi global network and other control functions (principally Credit Risk Management and Independent
Compliance Risk Management), counterpart in-house lawyers and external law firm contacts
Co-ordination relevant product lawyers' engagement with market and regulatory changes.
Further, although the position will have a specific focus on the above businesses, the selected applicant will work with colleagues in the larger Belfast Markets & Securities Services Legal team and will be required to work overarching initiatives, including involvement in the Legal Opinions Committee review process and will have the opportunity to work on a variety of matters required to support other businesses covered by Markets & Securities Services Legal.
This is an exciting opportunity for a candidate with experience in SFTs and/or general derivatives documentation to develop their experience in these areas and to work on alternative transaction structures. It may also suit lawyers with international or structured finance experience looking to develop their expertise.
Knowledge/Experience: Preference for a candidate with:
Extensive years of experience in PQE from an international law firm;
In-house experience gained through a secondment with a major international bank helpful;
A good understanding of structured finance;
Excellent academic credentials.
