Oversees the setup of and transaction services to special purpose vehicles ("SPVs") as part of the Capital Markets Transaction Services team ("Transaction Services team"), ensuring that TMF's SPV clients are provided with an efficient, professional and high-quality service which meets all statutory obligations. He/she is responsible for allocating work to staff in the Transaction Services team and managing transactions from inception through to closure. He/ She is responsible for ensuring accurate on-boarding of the SPVs, and overseeing timely and efficient delivery of corporate administrative services to clients.
Duties and responsibilities
Oversee successful execution of all end-to-end SPV transaction services for TMF's clients, ensuring setups are completed in a timely and accurate manner in line with the Companies Act 2014
Coordinate activities with other teams in TMF Group, including but not limited to, the Entity Management team and Client Accounting team
Oversee the continuous handover of new entities from the Transaction Services team into the Entity Management team
Build strong relationships with clients whilst enhancing TMF's strong reputation in the Capital Markets transaction services with tax advisors, banks, custodians, lawyers and other key partners
Allocate and manage the workload of juniors, assigning or re-assigning tasks to them and monitor day to day progress of delivery using available means to ensure work is delivered on time
Review the work of junior team members ensuring accuracy, providing feedback and approving draft documents for execution or filing
Provide guidance and support to junior team members with complex work, supporting them with career development and acting as a point of escalation. Supervise their communication with third parties, stepping in as required
Adhere to TMF internal procedures and ensure compliance by the team with TMF's Risk and Control framework and processes. This includes ensuring the 4 eye principle is always followed.
You should be able to perform and understand all the activities of more junior members of staff
Maintain a focus on continuous improvement in the team, challenging the status quo
Ensure the simplest tasks are appropriately allocated to the most junior team members to ensure efficient delivery of work and clear progression opportunities for staff to follow
Ensure the team's outputs are approved by clients before execution and filing
Ensure all client data is managed with integrity and suitability maintained
Ensure successful delivery of client work with accuracy and completeness by the team
Ensure TMF meets our obligations to clients, providing all SPV corporate services needed to effectively close a transaction within required timelines
Ensure TMF internal compliance procedures are complied with in a timely manner
Oversee completion of all activities required in relation to the transaction services including, set-up, transaction closings etc and ensuring maintenance of relevant documentation and processes to enable tasks to be appropriately allocated across the team
Support drafting of Corporate Services Agreements & Declarations of Trust, whilst overseeing completion of other key setup activities including filings, tax registrations and classifications
Work closely with Transaction Review team to effectively ensure transactions are completed successfully
Support the Team Leads in maintaining, reviewing and improving internal controls and policies
Provide exceptional customer service whilst being decisive, firm and empathetic with customers
Follow 'Our Service Promise' delivery guidelines for relationship management to support recurring business development
Support recruitment initiatives taking place in the team, in particular for staff that will fall within your remit, and oversee appropriate training of the interns or new staff
Job specific requirements
A degree in Law, Business or a closely related field is desirable
A candidate with a minimum 2-3 years of related work experience is preferred
A candidate with an ICSA qualification/part qualified is an advantage
Previous hands-on experience in a corporate services provider, legal, compliance, company secretarial department or with capital markets experience is desirable
Prior supervisory experience is preferred
Experience with structured finance, aircraft leasing transactions is a strong advantage
Resourceful, independent and strong problem-solving abilities
Excellent written and communication skills, with strong ability to plan ahead and organise themselves and others
Analytical structured mind set with ability to follow and build upon existing processes and ensure data is maintained with accuracy and consistency
Fluency in English is essential, with knowledge of other languages an advantage
Proficiency in MS Excel and MS Word is essential, with experience of Blueprint preferred
Experience in an outsourcing firm with strong client servicing skills is preferred
