Draft and review contracts and agreements and participate in various internal and external projects such as overall discretionary asset management, cross boarder P/E, M&A, corporate finance as well as Hong Kong listing rules compliance etc.
Review and provide advice such as terms and conditions, marketing materials and other relevant client-facing documentation; ensure business initiatives are within permissible legal, statutory and regulatory frameworks
Liaise with external counsels and regulatory parties
Provide legal support and advice to the Business, Compliance, Risk and other control functions on regulatory issues, risk management and other related matters
Work on day-to-day legal affairs for the Company's business to ensure full compliance
Handle ad-hoc tasks as assigned
University degree majoring in Law covered Private Equity or equivalent
At least 10 years in legal firm and as in-house legal counsel in business context
Experience in P/E, M&A, corporate finance, investment funds in TMT, Fintech, healthcare or education is preferred
Excellent knowledge of corporate law and procedures of Hong Kong, China and the US
Hong Kong qualification is highly preferred while qualification from other jurisdictions will also be considered
Excellent communication skills and negotiation skills
Excellent English and Mandarin ability (written and spoken) is a must while Cantonese ability will be a plus
Team player, mature, reliable, pleasant to work with and able to work under time pressure
