* Lead and provide Co Sec support and advice to SC Venture management and stakeholders. * Lead the scoping of the future state of company secretarial support for SC ventures as it develops within the ERMF. * Lead, manage and support the provision of company secretarial advice and transactional support for projects and transactions involving SC Ventures. * Establish and maintain frameworks to identify, assess, manage, monitor, mitigate and report corporate governance risks related to SC Ventures. * Promote a culture and practice of good conduct of business and adherence to all GCS policies and standards within the Group.
Advisory * Provide exemplary corporate governance and corporate authorities advice in relation to all aspects of proposed corporate transactions, including acquisitions, disposals and divestments relating to SC Ventures . Ensure projects are compliant with internal policies and approval processes and local laws and regulations. * Act as expert advisor to SC Ventures regarding the Group's Sources of Authority Framework, including providing advice on appropriate delegated authorities and facilitating SCPLC Board or SCB Court and local subsidiary board approvals. * Manage the Change to Group Corporate Structure approval process, including acting as a "trusted advisor" to stakeholders in connection with the approval process and providing guidance and support in connection with transaction related documents for SC Ventures. * Develop and build strong linkages with senior stakeholders within SC Ventures, Group Corporate Development, Group Treasury, Group Legal and Compliance and other parts of the business.
Documentation * Support Accountable Executives and Responsible Persons in updating Blueprint and acting as RP for legal entities, as required
Risk Management * To act as risk owner for Corporate governance for SC Ventures in the identification, assessment and control of GCS operational risk processes , including the designing of related controls, control monitoring and reporting.
Board Support * Assist the business in securing appropriate board support including ensuring the PEDs have resources sufficient to support a Board and recruiting qualified company secretaries or third party company secretary providers and managing these contracts and SLAs to adhere to group standards. * Assisting in the identification, on-boarding and induction of INEDs and NEDs for ventures until establishment and managing an orderly transition to the new CoSec team or outsourced provider.
Policy Development * If needed assisting in drawing up policy standards or waivers for GCS policies to give more flexibility to SC Ventures whilst retaining appropriate controls.

* A qualified Chartered Secretary with in-depth company secretarial technical knowledge and experience, ideally working within Financial Services or a fast-paced UK/ HK listed company of substantial size and complexity. * Good levels of business advisory support as a Company Secretary including in the formation of legal entities, ideally across our footprint. * Strong interpersonal and written and verbal communication skills with the ability to communicate at all levels and between different cultures. * Strong IT skills (these should include MS Excel, Word and Powerpoint). * Knowledge and understanding of the regulatory environment in which the Group operates. * Ability to understand and anticipate the needs of stakeholders. * Proven ability to manage projects. * Good working knowledge of "Blueprint "one world".
