who will report directly to the Head of the Corporate Secretarial team. He/she will manage a portfolio of Singapore private entities. The successful candidate will act as Company Secretary to such client entities and will be responsible for all aspects of establishing, maintaining and the winding up of client companies.
He/she must be familiar with all aspects of these processes (including Bizfile+ filings), maintaining statutory records, preparation of board and shareholder written resolutions and providing other corporate secretarial services to ensure that client companies are in compliance with all statutory and regulatory requirements. This will also involve arranging board and general meetings and if applicable, attendance at such meetings and writing of meeting minutes. He/she will assist in client on-boarding and maintain information in our internal systems regarding all client companies including KYC data.
This post requires attention to detail, professionalism and good organisational skills. The successful candidate must be able to work independently with minimum supervision, use his/her own initiative and work efficiently under pressure to meet tight deadlines. An ability to prioritise work and a flexible proactive attitude is needed, as are excellent interpersonal and communication skills. He/she will be used to extensive direct dealings with clients and other transactional parties including lawyers, accountants, investment bankers and directors.
The successful candidate will be highly skilled, with at least 6-10 years prior experience in the company secretarial field. Good understanding of the Singapore Companies Act and its regulations as well as AML regulations / guidelines applicable to registered filing agents is required. He/she should be a Singapore qualified lawyer, member of ISCA or SAICSA and must be computer literate with an excellent knowledge of Microsoft Office.
