You will work in a small team environment within a five-person team of qualified lawyers (Syndikusanwälte) and provide legal support on contractual legal matters relating to equity and fixed income products traded under master agreements, including the respective confirmations under these agreements.
Provide legal guidance in relation to General Terms of Business and on-boarding matters of EEA 27 clients in co-ordination with the EMEA Global Markets On-Boarding team in London.
In relation to all transactions governed by German law, you will be expected to (i) at a pre-transaction stage, assist with general legal and regulatory queries and provide guidance through the internal processes as well as review, negotiate and draft terms sheets and respective disclaimers, (ii) during transaction, review, negotiate and draft contractual agreements and related trade confirmations, (iii) negotiate, draft and assist with queries relating to archiving of the transactional documents, in particular the entry into the data storage system, called Data Legal (iv) generally throughout the term of transactions, liaising from time to time with front and back office divisions.
In relation to the EMEA Global Markets business, you will be expected to (i) work with client's compliance, credit, market risk and structured finance department to assist in the overall management of risk, (ii) negotiate, draft and review transactional documents (ii) review Legal Opinions relating to the Master Agreements confident and highly interested letters, (iii) advise in relation to the mandate of external counsel in other jurisdictions (iv) provide technical legal guidance to structuring groups in relation to German law questions.
You will be required to work closely with sales and trading, other lawyers and compliance officers within client's team in London as well as the EMEA regional offices.
You will play a key role in identifying and managing risks in relation to Global Markets business, including upholding the consistency of internal policies and documentation standards.
Qualified lawyer in Germany (Syndikusanwalt) with experience in Banking / finance industry
Experience in Master documentation and underlying transactions
Experience in derivative documentation and general banking terms
Ability to manage multiple tasks in a busy small team environment
Ability to draft and negotiate German law contract in German and English
Excellent communication skills, both oral and writing and including ability to draft freehand
Strong understanding of wholesale banking products and banking law with respective experience
Strong organisational skills and ability to work accurately to short deadlines and under pressure
Good attention to detail
Experience delivering practical solutions to legal issues
Ability to build relationships both with the business and internal legal and compliance teams, whilst at the same time effectively managing client's risk
Must be a good team player and willing to help across the team disciplines as necessary
Must be able to use initiative and prioritise own work and meet deadlines
