China Merchants Securities International Co., Limited ("we"), wholly owned by China Merchant Securities Company Limited (Stock Code: 6099.HK/600999.SH), is principally engaged in the provision of a wide range of financial services including brokerage, corporate financing, sales and trading, leveraged and structured lending, asset management, private equity, global commodities and futures. We are searching high caliber talents to help develop and take part in the growth of our business.
Dealing with a broad range of equities/brokerage businesses including securities, futures, commodities futures, margin financing;
Dealing with a broad range of FICC transactions including the review and negotiation of relevant agreements/documents (including ISDA, GMSLA and CSA), OTC derivatives, options, accumulator and decumulator;
Advising on a variety of risk management and cross-border legal issues, in particular in relation to financing structures, new product development and fund-linked structures;
Establishing and maintaining structured products program platform, including annual update of program documentation, reviewing issuer disclosure and product risk factor disclosures and reviewing disclosure consistency across different program documents;
Advising on sale and distribution of structured products and liaising with external counsel and regulators;
Drafting and reviewing transaction documents for notes issuance e.g. term sheet, final terms, marketing materials, disclaimer, risk disclosures for various type of equity-linked products in English and Chinese;
Perform such other duties as shall from time to time be directed by your superiors.
A minimum of 6 years PQE HK lawyer with relevant experience;
Good knowledge in financial products and services, including derivatives instruments;
Able to work under minimal supervision;
A good team player and well organized;
Candidate has asset management experience including authorized and unauthorized funds, discretionary accounts, QFII/RQFII and investment advisory) would be a plus;
Good legal drafting (in both English and Chinese) and communication skills;
Excellent command of spoken and written Chinese and English. Conversational level of Mandarin is required.
