Background on the Position: Morgan Stanley's Legal and Compliance Division is seeking to hire a private funds/asset management attorney in New York to provide legal coverage for Morgan Stanley Investment Management's (MSIM) Institutional business in the Americas in coordination with Morgan Stanley colleagues in Europe and Asia.
The attorney will provide legal coverage in connection with negotiation of investment management agreements and formation of private funds for institutional clients, working closely with all functional areas of the business and with other Morgan Stanley legal and compliance professionals.
Primary responsibilities will include advising investment professionals in Morgan Stanley's U.S. offices, coordinating with colleagues in London and Hong Kong offices and directing outside counsel in connection with fund formation and negotiation of investment management agreements.
The candidate will be closely involved in: -Advising the business of regulatory developments and changes in legal requirements -Formation of different private fund structures -Negotiation of investment management agreements with a variety of institutional clients -Advising on legal obligations arising in connection with corporate governance, investor relations, fund raising and investing activities -Review of marketing materials and RFPs/DDQ in connection with fund raising -Supervision and coordination with external counsel with respect to fund formation, investment activity and regulatory matters -Advising on the development and execution of internal policies and procedures -Development and review of template legal and offering documents
Skills required (essential) 4-6 years of private fund formation experience with a major US law firm and 6-10 years overall experience Extensive experience in the following areas: -Structuring of private investment funds (hedge fund experience preferred) -Negotiation of investment management agreements. -Strong substantive knowledge of the Investment Advisers Act and applicable provisions of Commodity Exchange Act -Knowledge of Investment Company Act of 1940, the Volcker Rule and ERISA a plus Skills desired -Excellent judgment and analytical skills -Excellent oral and written communication skills -Strong management, organizational and administrative skills -Ability to multi-task -Ability to work with teams -Ability to work independently -Ability to work directly with demanding clients in the business at senior levels
